1. Gift Card Generation a. The Gift Card Generation service is available only to brands who have onboarded with Vistar. b. The gift cards generated through the service are linked to UPI. c. The brand is responsible for the gift card generation and the accuracy of the details provided. d. The brand shall be liable for any misuse of the gift cards generated through the service.
2. Gift Card Distribution a. The Gift Card Distribution service is available only to sellers who have onboarded with Vistar. b. The seller shall upload their inventory and sell it using the ONDC network. c. The seller shall be liable for the accuracy of the details provided and shall ensure that the products uploaded for sale are legal and not prohibited. d. The seller shall be liable for any damages caused due to the sale of prohibited items.
3. Fees and Payment a. Vistar shall charge a minimum commission for the services rendered. b. Vistar shall settle the payment to the brand or seller within a specified period. c. Vistar reserves the right to amend the commission and payment terms at any time.
4. Intellectual Property Rights a. Vistar owns all the intellectual property rights related to the services offered. b. The brand or seller shall not reproduce, modify or distribute the Vistar intellectual property without written permission.
5. Privacy and Security a. Vistar collects and stores personal information and data to provide the services. b. Vistar shall take all necessary measures to safeguard the personal information and data collected. c. Vistar shall not disclose the personal information and data to any third party without the consent of the brand or seller.
6. Disclaimer of Warranty and Liability a. Vistar does not guarantee the accuracy, completeness or reliability of the services offered. b. Vistar shall not be liable for any damages or losses arising due to the use or inability to use the services offered. c. Vistar shall not be liable for any indirect or consequential damages arising out of or in connection with the services offered.
7. Governing Law and Jurisdiction a. These terms and conditions shall be governed by and construed in accordance with the laws of India. b. Any dispute arising out of or in connection with these terms and conditions shall be subject to the jurisdiction of the courts in India.
